Framework Carrier Partnership Agreement

For the provision of universal number portability services across Deutsche Telekom Group network territories

1. Parties

2. Purpose

This Agreement establishes the framework under which Deutsche Telekom AG ("DT") shall enable number portability and lifetime number assignment services through the OneNumber platform across its T-Mobile and Magenta-branded network territories, in accordance with EU Regulation 2018/1972, the German Telecommunications Act (TKG), and applicable local regulations.

The following territories are covered under this Agreement:

4. Scope of Services

4.1. DT shall enable the routing and forwarding of voice calls, SMS, and data services to OneNumber-assigned identifiers across all T-Mobile, Magenta, and affiliated carrier networks in the territories listed in Section 3.

4.2. OneNumber shall provide the technical infrastructure for number registration, SIM linking, and real-time portability switching, with integration into DT's existing MNP infrastructure.

4.3. Both parties shall cooperate to ensure compliance with BNetzA (Germany), national regulatory authorities, and GDPR.

5. Commercial Terms

5.1. Per-activation fee: per number activated on DT networks.

5.2. Revenue share on premium services: .

5.3. Minimum annual volume commitment: activations.

Commercial terms are subject to a separate Non-Disclosure Agreement (NDA-ON-DT-2026-A).

6. Term and Termination

6.1. This Agreement is effective for an initial term of five (5) years from the Effective Date, automatically renewable for successive two (2) year periods unless terminated by either party with twelve (12) months' written notice.

6.2. Either party may terminate this Agreement immediately upon material breach, subject to a thirty (30) day cure period.

7. Exclusivity

7.1. DT grants OneNumber a preferred-partner status for lifetime number portability services across all territories listed in Section 3 for the initial term.

7.2. This exclusivity extends to all DT subsidiaries operating under T-Mobile, Magenta, and affiliated brands.

8. Governing Law

This Agreement shall be governed by the laws of Germany. Disputes shall be referred to the ICC in Frankfurt am Main.
