Framework Carrier Partnership Agreement

For the provision of universal number portability services across Orange Group network territories

1. Parties

2. Purpose

This Agreement establishes the framework under which Orange S.A. ("Orange") shall enable number portability and lifetime number assignment services through the OneNumber platform across its network territories, with particular emphasis on European and African markets, in accordance with EU Regulation 2018/1972 and applicable local telecommunications legislation.

3. Territory

The following territories are covered under this Agreement:

4. Scope of Services

4.1. Orange shall enable the routing and forwarding of voice calls, SMS, and data services to OneNumber-assigned identifiers across all territories listed in Section 3, including its subsidiary networks operating under the Orange brand.

4.2. OneNumber shall provide the technical infrastructure for number registration, SIM linking, and real-time portability switching through its proprietary platform.

4.3. Both parties shall ensure compliance with ARCEP regulations (France), local NRA requirements, and GDPR/data protection standards across all territories.

5. Commercial Terms

5.1. Per-activation fee: per number activated on Orange networks.

5.2. Revenue share on premium services: .

5.3. Minimum annual volume commitment: activations.

Commercial terms are subject to a separate Non-Disclosure Agreement (NDA-ON-OR-2026-A).

6. Term and Termination

6.1. This Agreement is effective for an initial term of five (5) years from the Effective Date, automatically renewable for successive two (2) year periods unless terminated by either party with twelve (12) months' written notice.

6.2. Either party may terminate this Agreement immediately upon material breach by the other party, subject to a thirty (30) day cure period.

7. Exclusivity

7.1. Orange grants OneNumber a preferred-partner status for lifetime number portability services across all European territories listed in Section 3.

7.2. For African territories, exclusivity is granted on a country-by-country basis as outlined in Annex B (not attached to this summary).

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of France. Any disputes shall be referred to the Paris Commercial Court (Tribunal de Commerce de Paris).
