Framework Carrier Partnership Agreement

For the provision of universal number portability services across SoftBank Group network territories in Asia-Pacific

1. Parties

2. Purpose

This Agreement establishes the framework under which SoftBank Corp. ("SoftBank") shall enable number portability and lifetime number assignment services through the OneNumber platform across its Asia-Pacific network territories, bridging European and Asian telecommunications infrastructure for cross-continental number portability.

3. Territory

The following territories are covered under this Agreement:

Additional Asia-Pacific territories may be added via Annex amendments, subject to local regulatory approvals.

4. Scope of Services

4.1. SoftBank shall enable routing and forwarding of voice calls, SMS, and data services to OneNumber-assigned identifiers across its direct network operations and partner networks in the territories listed in Section 3.

4.2. OneNumber shall provide the technical infrastructure for number registration, SIM linking, and real-time portability switching, with API integration into SoftBank's network management systems.

4.3. Both parties shall cooperate to ensure compliance with the Japanese Telecommunications Business Act, MIC regulations, and applicable data protection laws (APPI in Japan, PDPA in Singapore and Thailand).

5. Commercial Terms

5.1. Per-activation fee: per number activated on SoftBank networks.

Commercial terms are subject to a separate Non-Disclosure Agreement (NDA-ON-SB-2026-A).

6. Term and Termination

6.1. This Agreement is effective for an initial term of three (3) years from the Effective Date, automatically renewable for successive two (2) year periods unless terminated with six (6) months' written notice.

6.2. Either party may terminate immediately upon material breach, subject to a sixty (60) day cure period.

7. Strategic Partnership

7.1. SoftBank grants OneNumber preferred-partner status for lifetime number portability services across all listed territories.

7.2. SoftBank Vision Fund shall have a right of first refusal on future OneNumber equity rounds, subject to separate terms.

8. Governing Law

This Agreement shall be governed by the laws of France for European operations and the laws of Japan for Asia-Pacific operations. Disputes shall be referred to the ICC in Paris or the JCAA in Tokyo, at the claimant's election.
